Terms of Service

1. Acceptance of Terms

By accessing or using Mila ("Service"), available at mila.gg and its associated subdomains (docs.mila.gg, sheets.mila.gg, slides.mila.gg, api.mila.gg), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Mila reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Description of Service

Mila is an AI-powered collaborative document platform that provides tools for creating and editing documents, spreadsheets, and presentations. The Service includes real-time collaboration, AI-assisted content generation, document sharing, import/export capabilities, and team workspace features ("Servers").

3. Account Registration

To use certain features of the Service, you must create an account by providing a valid email address and password, or by authenticating through Google OAuth. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and up-to-date information
  • Notifying us immediately of any unauthorized use of your account

You must be at least 13 years of age to create an account and use the Service. If you are under 18, you represent that you have your parent or guardian's consent.

4. Subscriptions and Payments

Mila offers free and paid subscription plans. Paid plans are billed on a monthly or annual basis through Stripe, our third-party payment processor.

  • Auto-renewal: Paid subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
  • Usage-based pricing: Certain AI features may be subject to usage-based pricing in addition to your subscription fee. Usage limits and pricing are outlined on our pricing page.
  • Refunds: Subscription fees are generally non-refundable. If you believe you are entitled to a refund, contact us at fred@mila.gg.
  • Price changes: Mila reserves the right to change pricing at any time. You will be notified in advance of any price changes that affect your active subscription.
  • Free trial: New users may receive a one-week Pro trial. After the trial period, your account will revert to the free Hobby plan unless you subscribe to a paid plan.

5. User Content

"User Content" refers to any documents, spreadsheets, presentations, text, images, or other materials you create, upload, or share through the Service.

  • Ownership: You retain all rights to your User Content. Mila does not claim ownership of any content you create or upload.
  • License: By using the Service, you grant Mila a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing and improving the Service.
  • AI processing: When you use AI features, your content may be sent to third-party AI model providers (such as OpenRouter) for processing. Mila does not use your content to train AI models.
  • Sharing: You are responsible for managing the sharing settings of your content. Content you share publicly or with specific users may be viewed and, depending on your permission settings, edited by those users.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Distribute malware, spam, or other harmful content
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service's infrastructure
  • Harass, abuse, or threaten other users
  • Use the Service to generate content that is illegal, harmful, or violates the rights of others
  • Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service (except as permitted by the CC BY-NC-SA 4.0 license)
  • Use the Service for any commercial purpose that violates the CC BY-NC-SA 4.0 license

Mila reserves the right to suspend or terminate accounts that violate these terms without prior notice.

7. Servers and Community Features

Mila allows users to create and join collaborative workspaces ("Servers"). By creating a Server, you agree to Mila's Community Guidelines. Server owners and administrators are responsible for the content and conduct within their Servers. Mila reserves the right to remove Servers or content that violates these Terms.

8. Intellectual Property

The Service, including its design, features, code, branding, logos, and documentation, is owned by Mila and is licensed under the Creative Commons Attribution-NonCommercial-ShareAlike 4.0 International (CC BY-NC-SA 4.0) license, except where otherwise noted. All trademarks, service marks, and trade names are the property of their respective owners.

9. Third-Party Services

The Service integrates with third-party services including but not limited to:

  • Stripe for payment processing
  • Google for authentication (OAuth)
  • OpenRouter for AI model access
  • PostHog for product analytics
  • Amazon Web Services (S3) for file storage
  • Resend for transactional email

Your use of these third-party services is subject to their respective terms of service and privacy policies. Mila is not responsible for the practices of third-party service providers.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MILA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

AI-generated content is provided for informational purposes only and may contain inaccuracies. You are solely responsible for reviewing and verifying any AI-generated output before use.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Service
  • Any unauthorized access to or alteration of your content
  • Any third-party conduct on the Service
  • Any content obtained from the Service, including AI-generated content

Mila's total liability shall not exceed the amount you paid to Mila in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mila and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Termination

You may terminate your account at any time by contacting us at fred@mila.gg. Mila may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account data after a reasonable retention period
  • Any outstanding payment obligations will remain in effect
  • Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitation of liability

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction.
